Tessabyte End User License Agreement

This End User License Agreement (the "Agreement") is a legal contract between you ("User" or "You") and Netmantics LLC ("Company" or "Netmantics") regarding the use of the software product, Tessabyte (the "Software").

1. LICENSE GRANT

Subject to the terms and conditions of this Agreement, Netmantics LLC hereby grants You a limited, non-exclusive, non-transferable, and revocable license to use the Software, with the following specific conditions for evaluation, registered, and floating licenses:

1.1 Evaluation Version
The Evaluation Version of the Software may be used for a trial period of 30 days from the date of first execution. After this period, You must purchase a license to continue using the Software. Any continued use of the Evaluation Version beyond the 30-day trial period without a purchased license is strictly prohibited.

1.2 Registered Version
If You have purchased a license for the Software:

For a single-user license, You may install and use the Software on up to three computers, provided that all such devices are used exclusively by the individual who purchased the license. The license is personal and may not be shared with others.
For multi-user licenses, You may install and use the Software on multiple computers, provided that the total number of distinct users does not exceed the number of licenses purchased. Each licensed user may install the Software on up to three devices they personally use.
For a floating license, the Software may be installed on multiple computers, but the number of concurrent users accessing the Software at any one time may not exceed the number of licenses purchased. This allows flexibility in usage while ensuring compliance with the licensed user count.

1.3 Freeware Version
Netmantics LLC may distribute certain versions of the Software as freeware or beta versions. These versions will be explicitly labeled as "Free Version" or "Free Beta" and do not require payment. Netmantics LLC reserves the right to impose time limitations on such versions and to discontinue them at any time.

2. LICENSE RESTRICTIONS

You agree that You will not:

Modify, alter, adapt, or translate the Software.
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the extent permitted by applicable law.
Rent, lease, loan, or distribute the Software to any third party.
Share, distribute, or otherwise disclose your license key to any third party. Any license key identified as shared or distributed without authorization will be subject to blacklisting, which may prevent further use of the Software.
Use the Software to create derivative works.

3. OWNERSHIP

All rights, title, and interest in and to the Software, including all copyrights, trademarks (including but not limited to TESSABYTE™ and NETMANTICS™), and other intellectual property rights, are owned by Netmantics LLC. This Agreement does not grant You any ownership rights to the Software.

4. PRIVACY AND DATA COLLECTION

The Software may connect to Netmantics LLC's servers for the purpose of checking for updates and to activate the Software over the internet upon entering the license key. This activation process is entirely anonymous, and the Software does not collect, transmit, or share any personal information about the User.

5. UPDATES AND UPGRADES

This Agreement does not obligate the Licensor to provide updates, upgrades, or new releases of the Software. Any such updates or new releases, if made available, may be subject to additional fees, subscription to support services, or acceptance of new terms and conditions. Furthermore, if the Software or any part thereof constitutes an update to a previous version, you must hold a valid license for the previous version to access and use the update.

6. WARRANTY DISCLAIMER

The Software is provided "AS IS" without warranty of any kind. Netmantics LLC expressly disclaims all warranties, whether express, implied, or statutory, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Netmantics LLC does not warrant that the Software will be error-free or uninterrupted.

7. LIMITATION OF LIABILITY

To the maximum extent permitted by law, in no event shall Netmantics LLC or its affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including, but not limited to, damages for loss of profits, data, or other intangibles, arising out of or in connection with this Agreement or the use or inability to use the Software, even if Netmantics LLC has been advised of the possibility of such damages.

8. TERMINATION

This Agreement is effective until terminated. You may terminate it at any time by ceasing all use of the Software and destroying all copies. This Agreement will also terminate immediately if You fail to comply with any term or condition herein. Upon termination, You must delete all copies of the Software in your possession.

9. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of laws principles.

10. NO REFUNDS

By purchasing the Software, you acknowledge and agree that there will be no refunds after the registration key has been emailed, due to the 30-day trial period that allows full evaluation of the Software before purchase.

11. EXPORT RESTRICTIONS

You acknowledge that the Software is subject to U.S. export control laws and regulations, including but not limited to the Export Administration Regulations (EAR), and may be subject to export or import regulations in other countries. You agree not to export, re-export, or transfer, directly or indirectly, the Software to any prohibited country, individual, or entity as identified in U.S. law without obtaining the necessary export licenses or governmental approvals. You further agree that You will not use the Software for any purposes prohibited by U.S. law, including the development, design, manufacture, or production of nuclear, missile, or chemical or biological weapons.

12. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between You and Netmantics LLC regarding the use of the Software and supersedes any prior or contemporaneous oral or written agreements or communications regarding such subject matter.

BY USING OR INSTALLING THIS SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
